1. GENERAL PRINCIPLES

1.1 This Terms of Use Document (hereinafter referred to as the Agreement) applies to the website www.qui.help.

1.2 The site www.qui.help (hereinafter referred to as the Site) is the property of the entrepreneur Ivan Vladimirovich Kharlampov.

1.3 The Agreement regulates the procedure for interaction between the entrepreneur Ivan Vladimirovich Kharlampov (hereinafter referred to as the Site Administration) and the users of the Site.

1.4 The Website Administration reserves the right to make changes to the Agreement at any time without prior notice. The latest version of the Agreement is always available at: www.qui.help/en/terms-and-conditions

1.5 By using the Website, including browsing, searching for information, accessing services (hereinafter referred to as the use of the Website), the user confirms his/her agreement with the Agreement and all amendments thereto. In case of non-acceptance of the terms of the Agreement, the User shall immediately stop using the Website.

1.6 The user is responsible for familiarizing himself with the current version of the Agreement. Continued use of the Website after changes have been made to the Agreement means acceptance of these changes.

2. DEFINITION OF TERMS

2.1 The following definitions apply in the context of this Agreement:

2.1.1. qui.help is an online platform for providing access to professional psychological assistance, which operates through the domain www.qui.help and offers its services through this Site and related services.

2.1.2. The Website (or Internet site) is a comprehensive resource that contains software and various content available via the Internet at certain domain names or network addresses that identify the Website on the network. For the purposes of this Agreement, the term "Website" means www.qui.help.

2.1.3. The Contractor is Ivan Vladimirovich Kharlampov, acting as an individual entrepreneur.

2.1.4. The Website Administration means Ivan Vladimirovich Kharlampov and persons authorized by him representing the interests of the Website.

2.1.5. User of the Site (hereinafter referred to as the User) - any individual who uses or intends to use the resources of the site www.qui.help, including both clients and psychologists.

2.1.6. Website Content (hereinafter referred to as the Content) - intellectual property objects, including texts, annotations, articles, illustrations, photographs, music, graphic and text elements, trademarks, logos, as well as software, databases, design, structure and other components that form the content and visual interface of the Website.

2.1.7. Application is a User's request to the Psychologist for psychological services.

2.1.8. Client is a person seeking psychological help or support and who has accessed the Website to obtain information about Psychologists or directly to use their services.

2.1.9. Psychologist - a professional counselor registered on the Website who provides psychological services and who is helped by the Website Administration to find clients.

2.1.11. Personal account

Personal Account is a personal section on the Website, access to which is granted to the Psychologist after authentication.

2.1.12. Session means a meeting or consultation between the Client and the Psychologist for the purpose of providing psychological services.

2.1.13. Services - activities of the Website aimed at choosing a Psychologist for the Client and vice versa, as well as other services offered on the Website.

3. BASIS OF THE AGREEMENT

3.1 The basis of this Agreement is to provide Users with access to the capabilities of the Site for organizing interaction between the Psychologist and the Client.

3.1.1. The Website is provided to the User for the following purposes:

3.1.2 The Agreement covers all services of the Website existing at the time of its conclusion, as well as any future modifications and addition of new services.

3.2 Access to the Website and its functions is provided to Clients free of charge.

3.3 Registration of Psychologists on the Website is free of charge.

3.4 Commission Fee

Los psicólogos pagan una comisión por las primeras quince sesiones pagadas con cada nuevo cliente adquirido a través del Sitio, siempre que se realicen. El monto de la comisión se determina según la siguiente escala, dependiendo del número de sesión:

A partir de la decimosexta sesión con el mismo cliente, el psicólogo recibe el 100% del valor de la consulta, sin ninguna comisión.

Para psicólogos que se registraron antes del 7/10/2025 18:00:00 UTC:

Los psicólogos pagan una comisión del 50% del importe de las primeras cinco sesiones con cada cliente adquirido a través del Sitio, siempre que se realicen. La comisión se calcula según el precio de la sesión indicado por el psicólogo en su cuenta personal.

3.5 Payment of the commission is made through the acquiring system of Monobank (Universal Bank), with the possibility of using Apple Pay, Google Pay, bank card or MonoPay.

3.6 In case of using promotional codes to receive discounts or bonuses, the terms of access to the Website and its services for Psychologists are regulated in accordance with these promotional codes.

3.7. This Document is considered a public offer. The User shall join the Agreement by any actions using the Website, including the initial opening of any of its pages in an Internet browser on the User's device.

3.8 The use of the resources and services of the Website is subject to the legislation of Ukraine.

4. RIGHTS AND OBLIGATIONS OF PARTICIPANTS

4.1 Rights of the Site Administration:

4.1.1 To make changes to the rules for using the Site and the content of the Site. The changes shall take effect from the moment they are published on the Site.

4.1.2 Restrict the User's access to the Site in case of violation of the terms of this Agreement.

4.2 User's rights:

4.2.1 To use the Website in accordance with its purpose.

4.2.2 Contact the Website Administration with questions regarding the operation of the Website using the contact information posted in the relevant section on the Website.

4.2.3 To use the Website within the limits set forth in this Agreement without violating the laws of Ukraine.

4.3 Obligations of the User:

4.3.1 At the request of the Site Administration, provide information related to the use of the Site.

4.3.2 Respect the rights and legitimate interests of authors and copyright holders while using the Website.

4.3.3 Refrain from actions that may disrupt the normal operation of the Website.

4.3.4 Not to disseminate through the Website any information of a confidential nature or protected by law.

4.3.5 Prevent any attempts to illegally access protected information.

4.3.6 Avoid placing advertisements on the Website without the permission of the Administration.

4.3.7 Refuse to:

4.3.7.1. Distribution of materials that call for illegal actions or violate the laws of Ukraine.

4.3.7.2. Actions that may harm minors.

4.3.7.3. Impersonating another person or representative of an organization without proper authority.

4.3.7.4. Discrediting other Users or creating a negative opinion about persons associated with the Website.

4.4 Prohibitions for the User:

4.4.1 Use automatic systems to collect information from the Site without the permission of the Administration.

4.4.2 Interfere with the operation of the Website, in particular

through mass requests that may interfere with its stability.

4.4.3 Bypass the navigation structure of the Website to access non-public information.

4.4.4 Provide unauthorized access to the functions of the Site or other networks.

4.4.5 Violate the security measures of the Site or networks connected to the Site.

4.4.6 Use the Website for activities prohibited by the legislation of Ukraine.

5. GUIDELINES FOR USING THE SITE

5.1 The Site is an information and analytical platform created to facilitate the search for psychologists with the necessary specialization, qualifications and experience, in order to establish communication between users.

5.2 To order psychological support, the client contacts the selected psychologist directly by phone, indicated in the contact information on qui.help.

5.3 Information about psychologists on the Site is provided by the Site Administration on the basis of data received from psychologists. The Administration verifies the information provided to remove unreliable data and those that were published without the consent of psychologists.

5.4 The Site Administration makes efforts to ensure the accuracy of the information published by psychologists, but does not constantly update it. Clients must independently verify that the psychologist has the necessary education, qualifications, and certificates.

5.5 The rating of psychologists on the site is compiled in accordance with the criteria established by the Site Administration. The principles of rating formation may be partially or fully disclosed by the Administration at its discretion.

5.6 All exclusive rights to the Website and its content belong to the Website Administration.

5.7 The use of the Website content without the written permission of the Website Administration is prohibited.

5.8 The content of the Website is protected by copyright law, trademarks, other intellectual property laws and regulations protecting against unfair competition.

5.9 The User has no right to demand changes in the services or content of the Website. The Administration is not responsible for the compliance of the Website with the commercial expectations of the Users, for the possibility of its adaptation to individual requirements, as well as for the absence of errors and defects in the software.

5.10 The use of the Website is at the user's risk. The Administration does not guarantee the continuous operation of the Website and is not responsible for any losses caused by the use of the Website, as well as for the risks associated with the incompatibility of the user's equipment.

5.11 The Administration strives to minimize problems in the operation of the Website, but does not ensure its continuous availability and is not obliged to inform about possible interruptions in operation.

5.12 The use of the program code of the Site and its content without the consent of the Administration is prohibited.

6. REGISTRATION AND ACCOUNT MANAGEMENT:

6.1 To gain access to the specialized functions of the Site and use its services, the user must create an account (Personal Account).

6.2 The user is personally responsible for keeping the account information, including the password, confidential, as well as for all activities that take place under this account.

6.3 In case of detection of unauthorized access to the account or other security problems, the user is obliged to immediately notify the Site Administration.

6.4 The User may face liability for damage caused to the Site or other Users as a result of the use of his/her account by third parties without authorization.

7. PRIVACY

7.1 The Administration may use cookies to improve the Website's service, which are small files stored on the user's computer from the web server. They help to save the user's personal settings on the site and collect anonymous information about his visits.

9. ELECTRONIC INTERACTION

9.1 The Administration provides Psychologists with the opportunity to use the Personal Account for electronic interaction through the site, which becomes available after registration.

10. RESPONSIBILITY

10.1 The User assumes full responsibility for any damages caused by intentional or reckless actions that lead to a violation of the terms of this Agreement, or due to illegal access to the personal information of other Users. Compensation for such losses is not provided by the Website Administration.

10.2 The Site Administration is not responsible for:

10.2.1 Delays or failures occurring for reasons beyond its control, including force majeure, as well as malfunctions of telecommunication, computer, electrical and other related systems.

10.2.2 Actions and omissions of financial institutions, money transfer systems, as well as any delays arising in connection with their operation.

10.2.3 Inability to access the Website in case the User does not have the necessary equipment or technical means for its use, and the Website Administration shall not be obliged to provide the User with such means.

10.2.4 The site administration is not responsible for the quality of services provided by psychologists, regardless of whether the profiles of these specialists are available on the site.

11. VIOLATION OF THE TERMS OF THE AGREEMENT

11.1 The Site Administration has the right to disclose the User's personal data if necessary to conduct investigations or respond to complaints about the misuse of the Site, as well as to identify the person who violates the rights of the Site Administration or other Users.

11.2 The Administration reserves the right to disclose information about the User to the extent deemed necessary to comply with the law, execute court decisions or ensure the terms of this Agreement.

11.3 Information about the User may be disclosed in accordance with the legal requirements of Ukrainian legislation.

11.4 If the User violates the terms of the Agreement, the Administration has the right to restrict his/her access to the Site without prior notice, due to the termination of the Site's operation or technical problems.

11.5 The Administration is not responsible for the termination of the User's access to the Site if this is the result of a violation of the terms of this Agreement.

12. DISPUTE RESOLUTION

12.1 Before going to court to resolve a dispute, the parties undertake to try to resolve it by submitting a written claim for voluntary settlement.

12.2 The party receiving the claim shall, within thirty days from the date of receipt, notify the other party of the results of the claim consideration.

12.3 If it is impossible to resolve the dispute through negotiations, the parties may apply to the court in accordance with the current legislation of Ukraine to protect their rights.
